Terms of Service

By accessing or using the website private-dropshipping-agent.com (the "Site") or any services provided by CMYC Dropshipping Limited ("Private Dropship," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not access the Site or use our services.

Private Dropship provides dropshipping agent services including but not limited to: 1688 and Alibaba product sourcing, quality control, China 3PL and US/EU fulfillment, print-on-demand, account management, and custom branding services for e-commerce businesses. Services are legally contracted and billed by CMYC Dropshipping Limited (Hong Kong). Product sourcing, quality control, warehousing, and parcel dispatch operations are conducted through our direct facilities and affiliated entities located in Mainland China.

You must be at least 18 years old and have the legal authority to enter into contracts to use our services. By using our Service, you represent and warrant that you meet these requirements.

To use certain features, you may need to register for an account. You agree to provide accurate, current, and complete information during registration and to update it to maintain accuracy. You are responsible for safeguarding your account credentials and for all activity that occurs under your account.

Pricing: All services are billed per order as quoted. Per-order rates are confirmed in writing before any work begins. Volume discounts may apply.

Billing: Dropshipping orders are billed weekly (net-7). Bulk orders require a 30% deposit before production and 70% balance payment before shipping.

Payment Methods: We accept USD wire transfer, PayPal, Wise, and major credit cards. Payment terms may vary by client and are specified in the order agreement.

Currency: All prices are quoted in USD unless otherwise agreed in writing.

We source products from 1688, Alibaba, and other approved suppliers. We perform quality control inspections on bulk orders and on request for dropshipping orders. Inspection results are documented with photos or videos upon request. Minor cosmetic variations within reasonable commercial tolerances shall not be considered defects.

Shipping times are estimates and not guaranteed. Delays may occur due to weather, peak seasons, or carrier issues. Risk of loss passes to you upon delivery of the goods to the carrier, except as specifically provided below for customs clearance.

For China-direct orders, delivery typically takes 5–15 business days to US/EU. For US/EU warehouse orders, delivery is typically 2–7 business days domestically.

Customs & Taxes: Unless otherwise specified in writing, our shipping services generally include destination customs clearance and applicable import duties/taxes (DDP terms). We take responsibility for managing customs clearance for supported shipping routes. In the event that a package is confiscated, delayed, or destroyed by customs due to customs inspection or logistics issues (and not due to your submission of illegal, restricted, or infringing items), we will reship the order or issue a refund in accordance with Section 8 of these Terms.

Defective or damaged items will be reshipped or refunded at our cost if reported within 7 calendar days of tracking-confirmed delivery with clear photographic or video evidence. Buyer-remorse returns are not accepted for dropshipping orders. Original shipping fees for packages undeliverable due to incorrect addresses provided by you are non-refundable. Custom-branded or customized products are non-refundable once production has commenced.

You retain all rights to your brand assets, store content, and product designs. You grant us a limited, non-exclusive license to use these materials solely to provide our services. We retain all rights to our Service, website, software, and proprietary processes.

We execute Non-Disclosure Agreements (NDAs) upon request. We keep your customer data, store information, and custom branding details strictly confidential. We will not source or produce products bearing your custom branding or proprietary designs for any third party.

Data Processing: By submitting orders to us, you authorize us to transmit and process necessary recipient information (including recipient names, shipping addresses, and contact numbers) with our operational fulfillment teams and logistics carrier partners in Mainland China solely for the purpose of order processing, shipping, and delivery.

You agree not to:

To the maximum extent permitted by applicable law, our total aggregate liability for any claim arising out of or related to the Service shall not exceed the net service fees actually received by us for the specific order giving rise to the claim. We are not liable for any indirect, incidental, special, punitive, or consequential damages (including loss of profits or store suspension).

You agree to indemnify, defend, and hold harmless CMYC Dropshipping Limited and its officers, directors, and employees from any claims, liabilities, damages, or expenses arising from your breach of these Terms, your store operations, or your violation of third-party rights (including IP infringement).

Either party may terminate the service relationship at any time with written notice. Outstanding orders accepted prior to termination will be completed or transitioned per mutual agreement. We reserve the right to immediately suspend or terminate accounts that violate these Terms.

We may update these Terms from time to time. Material changes will be communicated via email or website notice. Continued use of the Service after such changes constitutes acceptance of the new Terms.

These Terms shall be governed by and construed in accordance with the laws of Hong Kong. In the event of any dispute, controversy, or claim arising out of or relating to these Terms, the parties shall first attempt to resolve the issue in good faith through friendly negotiations. If no settlement is reached within 30 days, the dispute shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted.
